We are looking for a Director, Compliance/Corporate Counsel to join our team in Buffalo, NY.

Director, Compliance/Corporate Counsel Summary:  Provides analysis and counsel on legal, policy, and corporate issues.  Anticipates and guards against legal risks facing the company.  Develops and recommend company policy and position on legal issues.
  • Manage with the intent to motivate, train and develop. Provide timely, constructive feedback regarding work and performance.  Manage non-performing employees in accordance with company policy.  Manage high potential employees to career succession and growth opportunities.  
  • Manage corporate governance, supervise outside counsel, and oversee all in-house legal transactions.   Oversee contract negotiation, legal cost containment, intellectual property protection, and trade compliance issues.  Responsible for legal due diligence, agreements drafting/review, and risk analysis for M&A transactions.  Organize and prepare for closing of both corporate financing transactions as well as large commercial procurements.
  • Manage and direct company policy with regards to contracts and agreements including: domestic and international commercial contracts, US Government contracts, and other agreements (including: teaming, leasing, licensing, joint venture, confidentiality, outside services, and long-term procurement).  Review, draft and amend short and long-term contracts and supporting documentation.
  • Develop and recommend operating policy and procedural improvements.
  • Act as lead compliance officer responsible for company-wide conformity to all company policies.   Assist management in risk analysis for employee actions (disciplinary actions, Collective Bargaining Agreement). 
  • Collaborate with outside counsel in litigation, balancing the demands of litigation with inherent business strategy concerns.  Conduct investigations, prepare defenses, represent company at trials/arbitrations /mediations.

Preferred Education / Experience:
  • Juris Doctorate; Licensed to practice law in New York State
  • 10+ years in related discipline or;
  • A combination of education and experience that is equivalent to above
Preferred Knowledge / Ability: 
  • Excellent written and verbal communication skills, Contract drafting
  • Management of audits and similar investigations
  • Advanced knowledge of federal, state, and local laws
